RunPanel Commercial License (English Version)

This Agreement ("Agreement") is entered into by and between Jinan Xingyun Network Technology Co., Ltd. (the "Licensor" or "RunPanel Official") and the entity or individual obtaining RunPanel commercial license (the "Licensee"). If the Licensee does not agree to any term herein, do not use or deploy the software or plugins covered by this commercial license.

  1. Scope of License 1.1 Grant: The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to use RunPanel commercial edition and/or official paid plugins within the agreed scope. Unless otherwise expressly agreed in writing, the license does not include the right to sublicense or relicense the source code. 1.2 Use Cases: The Licensee may use the software in internal enterprise environments or authorized SaaS scenarios. To provide the software as an external service (SaaS/hosted/multi-tenant), the Licensee must obtain the corresponding commercial license level and comply with the restrictions and compliance obligations set forth herein. 1.3 Territory and Term: Worldwide; the license term is as stated in the order/license document. If not specified, the default term is annual.

  2. Compliance and Restrictions 2.1 Legal Compliance: The Licensee shall use the software in compliance with applicable laws and regulations, and shall not use it for any unlawful, infringing, pornographic, gambling, fraudulent, or other illicit activities. The Licensee bears full responsibility for its end uses. 2.2 Prohibited Conduct: Without the Licensor’s written consent, the Licensee shall not:

    • Reverse engineer, decompile, or attempt to derive the source code (except to the extent permitted by mandatory law);
    • Remove, alter, or obscure any copyright notices, branding, or license verification mechanisms;
    • Resell, rent, sublicense, or otherwise grant third-party access to the software (except authorized SaaS/hosted offerings);
    • Circumvent, crack, or bypass licensing or functionality limitations of official paid plugins. 2.3 Third-Party Components: The software may include third-party open-source or commercial components subject to their respective licenses. The Licensee shall comply with those licenses.

  3. SaaS and Paid Plugins 3.1 SaaS Usage: If the Licensee provides online services to third parties (SaaS/hosted/operated) based on the software, the Licensee must hold a valid commercial license and comply with the Licensor’s requirements regarding branding, compliance, security, and availability. 3.2 Paid Plugins: Official paid plugins and value-added features may only be used under valid authorization and are billed in accordance with the applicable order. Unauthorized cracking, reselling, or redistribution constitutes infringement. 3.3 Attribution: With the Licensor’s consent, the Licensee may display “Powered by RunPanel.” The Licensee shall not use the Licensor’s trademarks in a misleading manner.

  4. Intellectual Property 4.1 Ownership: The software, documentation, UI, data structures, algorithms, designs, and trademarks are owned by the Licensor. The Licensee only acquires limited rights as granted under this Agreement. 4.2 Feedback: Feedback or suggestions provided by the Licensee may be used by the Licensor without any obligation to the Licensee; all related rights vest in the Licensor.

  5. Support and Updates 5.1 Support: Commercial licenses may include different support tiers and response times as specified in the order/SLA. 5.2 Updates: During the valid license term, the Licensee may receive updates within the scope of the license. Modules/plugins outside the scope or subject to separate fees require additional purchase.

  6. Disclaimer and Limitation of Liability 6.1 Disclaimer: The software is provided “as is,” without warranties of merchantability, fitness for a particular purpose, error-free, or uninterrupted operation, whether express or implied. 6.2 Limitation of Liability: To the maximum extent permitted by law, the Licensor’s total liability under this Agreement shall not exceed the fees actually paid by the Licensee for the license. In no event shall the Licensor be liable for any indirect damages, lost profits, data loss, or business interruption.

  7. Breach and Termination 7.1 Upon breach by the Licensee, the Licensor may terminate the license and pursue legal remedies. Upon termination, the Licensee shall immediately cease using and uninstall the software. 7.2 Termination shall not affect any rights and obligations accrued prior to termination.

  8. Governing Law and Dispute Resolution 8.1 Governing Law: This Agreement shall be governed by the laws of the People’s Republic of China. 8.2 Dispute Resolution: Any dispute arising from or in connection with this Agreement shall be settled through friendly negotiation; if negotiation fails, the dispute shall be submitted to the competent People’s Court at the Licensor’s domicile.

  9. Contact and Ownership

  1. Miscellaneous 10.1 This Agreement and the order/license documents constitute the entire agreement. In case of conflict, the order/supplement prevails. 10.2 The Licensor may reasonably amend this Agreement and publish the latest version on the official website.
