Thank you for your interest in contributing to NETCAP ("Project").
This Individual Contributor License Agreement ("Agreement") ensures that the Project maintainers can continue to offer the Project under both open-source and commercial terms.
By submitting a Contribution, you ("You" or "Contributor") agree to the following terms:
Important: If you are contributing on behalf of your employer or another entity, please use the Entity Contributor License Agreement instead.
Contribution means any original work of authorship that you intentionally submit to the Project, including code, documentation, tests, artwork, or other content.
Submit means any form of electronic, written, or verbal communication sent to the Project maintainers or repositories, including pull requests, patches, issues, and emails.
Maintainers means Philipp Mieden and any successor maintainers or assignees of the Project.
You grant the Maintainers a perpetual, worldwide, non-exclusive, transferable, royalty-free, irrevocable license to:
- Use, reproduce, modify, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contribution, in both source and object forms.
- Re-license your Contribution as part of the Project under:
- GNU General Public License v3.0 (GPL-3.0); and
- A proprietary commercial license, including but not limited to licenses granted to Amsterdam Technologies B.V. or its affiliates, allowing third parties to use the Project in closed-source software.
This allows the Maintainers to dual-license the Project and offer commercial licenses.
You grant the Maintainers and downstream recipients a perpetual, worldwide, non-exclusive, transferable, royalty-free, irrevocable patent license to make, use, sell, offer for sale, import, and otherwise transfer your Contribution, insofar as your Contribution or its combination with the Project would otherwise infringe a patent you own or control.
To the maximum extent permitted by applicable law, you irrevocably waive and agree not to assert any moral rights (such as rights of attribution or integrity) in your Contributions, except as required by the open-source license (GPL-3.0). Where waiver is not permitted by law, you agree not to exercise such rights against the Maintainers or their licensees.
You represent and warrant that:
- You are the original author of your Contribution, or you have the necessary rights to submit it under this Agreement.
- Your Contribution does not violate any third-party intellectual property rights, contractual obligations, or applicable laws.
- You are legally capable of entering into this Agreement.
- If you are employed or engaged by another party, you have obtained any necessary permissions from your employer or principal to submit the Contribution, and your Contribution does not violate any employment, consulting, or other agreement.
- You are not contributing on behalf of an entity. If your employer or another entity has rights to your Contribution, please use the Entity Contributor License Agreement.
If your Contribution includes code, libraries, or other content from a third party:
- You must clearly identify and document such third-party content.
- You must provide the applicable license for such third-party content.
- Such third-party content must be compatible with both GPLv3 and proprietary/commercial licensing (i.e., must not contain copyleft restrictions that would prevent proprietary relicensing).
- You acknowledge that Contributions containing incompatible third-party code may be rejected.
You agree to indemnify, defend, and hold harmless the Maintainers and their licensees from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Any breach of the representations and warranties in this Agreement.
- Any claim that your Contribution infringes third-party intellectual property rights.
The Maintainers are not required to accept or use your Contribution.
Your Contribution is provided "as is", without warranties or conditions of any kind, express or implied.
This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.
- This Agreement is effective upon acceptance and applies to all Contributions submitted thereafter.
- This Agreement does not apply retroactively to Contributions made before your acceptance, unless you explicitly agree to extend it to prior Contributions.
- The Maintainers may update this Agreement for future Contributions. The updated Agreement will be posted to the Project repository, and continued submission of Contributions after notice of an updated Agreement constitutes acceptance of the updated terms.
This Agreement constitutes the entire agreement between you and the Maintainers concerning your Contributions to the Project and supersedes any prior agreements or understandings.
By submitting a Contribution, you agree to be bound by the terms of this Agreement.
Acceptance is confirmed by one of the following methods:
- CLA-Assistant signature: Signing electronically via the CLA-Assistant bot or similar automated CLA tool integrated with the Project repository.
- Pull request acknowledgment: Including the text "I have read and agree to the NETCAP CLA" in a pull request or issue comment.
- Email confirmation: Sending written confirmation to the Project maintainers.
Once you have accepted this Agreement, it applies to all your future Contributions until you provide written notice of withdrawal (which will not affect prior Contributions).
